# Terms of Service

## 1. Acceptance of Terms
By accessing or using the BinPack waste management platform (including mobile applications and web dashboard), you (“User,” “you,” “your”) agree to be bound by these Terms of Service (“Terms”). If you do not agree to all the terms and conditions, you may not use our services.
These Terms constitute a legally binding agreement between you and BinPack (Pty) Ltd (“BinPack,” “we,” “our,” “us”).
## 2. Description of Services
BinPack provides a digital waste management platform that connects residents, businesses, and waste collection drivers. Our services include:
### 2.1 Core Services
– **Waste Collection Requests**: On-demand and scheduled waste collection bookings
– **eBin Rewards Program**: Loyalty rewards for recycling and responsible waste disposal
– **Fleet Management**: Dispatch and routing optimization for collection operations
– **Waste Tracking**: End-to-end tracking from source to recycling/disposal destination
– **Payment Processing**: Secure payment for waste collection services via PayFast
– **Communication**: In-app chat between residents and assigned drivers
– **Reporting**: Waste collection history and environmental impact metrics
### 2.2 User Roles
– **Residents**: Request waste collection services and earn eBin rewards
– **Drivers**: Accept and complete waste collection assignments
– **Admin/Staff**: Manage operations, users, and platform configuration
## 3. User Accounts
### 3.1 Account Registration
– You must be at least 18 years old to create an account
– You must provide accurate, current, and complete registration information
– You must maintain and update your account information to keep it accurate
– You are responsible for maintaining the confidentiality of your account credentials
– You are responsible for all activities that occur under your account
### 3.2 Account Security
– You must notify us immediately of any unauthorized use of your account or security breach
– You must use a strong password and keep it confidential
– You may enable two-factor authentication for enhanced security
– We are not liable for losses caused by unauthorized access to your account if you fail to protect your credentials
### 3.3 Account Assignment
– Admin and Staff accounts are assigned by authorized platform administrators only
– Driver accounts require verification and approval before activation
– We reserve the right to refuse service or terminate accounts at our discretion
## 4. Acceptable Use
You agree to use BinPack services in compliance with these Terms and all applicable laws. You agree **not to**:
### 4.1 Prohibited Activities
– Submit false or fraudulent waste collection requests
– Claim rewards for waste you did not dispose of responsibly
– Misrepresent the type, quantity, or nature of waste for collection
– Harass, abuse, or threaten other users (residents, drivers, staff)
– Share your account credentials with unauthorized individuals
– Attempt to gain unauthorized access to any part of the platform
– Use automated scripts, bots, or crawlers to access the service
– Interfere with the proper working of the service or servers
– Reverse engineer, decompile, or disassemble any part of the platform
– Violate any applicable laws or regulations
### 4.2 Content Standards
– You are responsible for any content you submit (photos, messages, support tickets)
– You must not submit content that is illegal, defamatory, obscene, or harmful
– You grant BinPack a license to use, display, and distribute content you submit for service delivery purposes
## 5. Waste Collection Services
### 5.1 Service Availability
– Services are subject to availability in your geographic area
– We do not guarantee that drivers will be available at all times
– Service schedules may be affected by weather, demand, or other factors
### 5.2 Waste Requirements
– Waste must be properly sorted according to our waste type categories
– Hazardous waste is not accepted unless explicitly stated
– Waste must be accessible and safe for collection
– We reserve the right to refuse collection of waste that poses safety risks or violates regulations
### 5.3 Pricing
– Pricing is displayed before you confirm a collection request
– Prices may vary based on waste type, quantity, location, and service level
– Free collections may be available for certain recyclable materials
– Prices are subject to change with notice
## 6. Payments
### 6.1 Payment Processing
– Payments for waste collection services are processed through PayFast, our third-party payment processor
– You agree to PayFast’s terms and conditions
– All fees are displayed in South African Rand (ZAR)
### 6.2 Billing
– You authorize us to charge your selected payment method for services rendered
– Payment is due upon confirmation of a paid collection request
– Invoices and receipts are available in the app and via email
### 6.3 Refunds
– Refunds are handled on a case-by-case basis
– You may request a refund if a collection was not completed as agreed
– Refund requests must be submitted within 7 days of the collection date
– We reserve the right to deny refunds for completed services
### 6.4 Late Payments
– Unpaid fees may result in suspension of account access
– We may charge interest or late fees on overdue payments as permitted by law
## 7. eBin Rewards Program
### 7.1 Earning Rewards
– eBin rewards are earned through eligible waste collection activities (recycling, responsible disposal)
– Reward amounts are determined by waste type, quantity, and current program terms
– Rewards are subject to verification and may be adjusted or revoked for fraudulent activity
### 7.2 Redemption
– eBin rewards have no cash value and cannot be exchanged for cash
– Rewards can be redeemed for services or benefits as specified in the program
– Rewards may have expiration dates as communicated in the app
### 7.3 Program Changes
– BinPack reserves the right to modify, suspend, or terminate the eBin Rewards Program with 30 days’ notice
– Changes to reward rates or redemption options will be communicated via email and in-app notifications
## 8. Driver Terms
### 8.1 Driver Obligations
– Drivers must maintain valid licenses, insurance, and vehicle registration
– Drivers must comply with all waste handling and safety regulations
– Drivers must complete assigned collections in a timely and professional manner
– Drivers must treat residents and staff with respect
### 8.2 Driver Compensation
– Driver compensation is based on completed collections and agreed rates
– Payouts are processed according to the schedule specified in the Driver Agreement
– BinPack may deduct fees for service violations or chargebacks
### 8.3 Independent Contractor Status
– Drivers are independent contractors, not employees of BinPack
– Drivers are responsible for their own taxes, insurance, and business expenses
– BinPack does not provide employee benefits to drivers
## 9. Intellectual Property
### 9.1 Ownership
– BinPack owns all rights, title, and interest in the platform, including software, trademarks, logos, and content
– These Terms do not grant you any ownership rights in the platform
### 9.2 License
– We grant you a limited, non-exclusive, non-transferable license to use the platform for personal or business use
– You may not copy, modify, distribute, or create derivative works based on our platform
### 9.3 Trademarks
– “BinPack,” the BinPack logo, and other marks are trademarks of BinPack (Pty) Ltd
– You may not use our trademarks without prior written permission
## 10. Privacy and Data Protection
Your use of BinPack services is subject to our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your personal information.
We comply with the Protection of Personal Information Act (POPIA) and other applicable data protection laws.
## 11. Limitation of Liability
### 11.1 Service “As Is”
– BinPack services are provided “as is” and “as available” without warranties of any kind
– We do not guarantee uninterrupted, error-free, or secure operation
– We are not responsible for delays, failures, or errors caused by third parties
### 11.2 Liability Cap
– To the maximum extent permitted by law, our total liability for any claims arising from your use of BinPack services shall not exceed the fees paid by you in the preceding 12 months
– We are not liable for indirect, incidental, consequential, or punitive damages
### 11.3 Exclusions
– We are not liable for:
– Service interruptions due to maintenance, upgrades, or technical issues
– Losses caused by user error or misuse of the platform
– Third-party actions (e.g., driver misconduct, payment processor errors)
– Force majeure events (natural disasters, strikes, government actions)
## 12. Indemnification
You agree to indemnify, defend, and hold harmless BinPack, its officers, directors, employees, and contractors from any claims, damages, losses, or expenses (including legal fees) arising from:
– Your violation of these Terms
– Your violation of any law or regulation
– Your violation of the rights of any third party
– Content you submit to the platform
– Your use or misuse of BinPack services
## 13. Termination
### 13.1 Termination by You
– You may terminate your account at any time by contacting support or using the in-app account deletion feature
– Upon termination, you remain liable for any outstanding fees or obligations
### 13.2 Termination by Us
We may suspend or terminate your account immediately, without notice, if:
– You violate these Terms
– Your account is used for fraudulent or illegal activities
– Your account poses a security risk
– Required by law or regulatory authorities
### 13.3 Effect of Termination
– Upon termination, your right to use the platform immediately ceases
– We may delete your account data in accordance with our Data Deletion Policy
– Provisions that by their nature should survive termination (payment obligations, indemnification, liability limitations) will remain in effect
## 14. Dispute Resolution
### 14.1 Governing Law
These Terms are governed by the laws of the Republic of South Africa, without regard to conflict of law principles.
### 14.2 Jurisdiction
Any disputes arising from these Terms or your use of BinPack services shall be resolved in the courts of South Africa.
### 14.3 Informal Resolution
Before initiating legal action, you agree to contact us at legal@binpack.co.za to attempt to resolve the dispute informally.
## 15. Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be effective upon posting in the app and on our website. The “Last updated” date at the top will be revised.
If changes materially affect your rights, we will notify you via email or in-app notification 30 days before the changes take effect. Continued use of BinPack services after changes constitutes acceptance of the updated Terms.
## 16. General Provisions
### 16.1 Entire Agreement
These Terms, together with our Privacy Policy and any additional agreements, constitute the entire agreement between you and BinPack.
### 16.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
### 16.3 Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
### 16.4 Assignment
You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms to a successor entity in the event of a merger or acquisition.
### 16.5 Force Majeure
We are not liable for delays or failures in performance caused by events beyond our reasonable control (natural disasters, strikes, war, epidemics, government actions).
